Welcome to Deftify AI! These Terms govern your access to our websites, APIs, software, and any other services we provide (collectively, the “Services”). By accessing or using the Services you agree to be bound by these Terms.
You must be at least 18 years old and able to form a binding contract. If you disagree with any part of the Terms, do not use the Services.
Subject to these Terms, Deftify AI grants you a limited, non-exclusive, non-transferable license to use the Services during the term. You retain ownership of data you upload; we retain ownership of the Services and any pre-existing materials.
You will not (a) reverse-engineer the Services; (b) use the Services to build a competing product; (c) upload unlawful, infringing, or malicious content; (d) violate any applicable law or regulation.
Fees are quoted in CAD and non-refundable unless required by law or stated in writing by us.
Each party will protect the other party’s confidential information with the same degree of care it uses to protect its own, but no less than reasonable care.
THE SERVICES ARE PROVIDED “AS IS”. AI MODELS MAY PRODUCE INACCURATE OUTPUT. WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DEFTIFY AI SHALL NOT BE LIABLE FOR ANY INDIRECT, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF CAD 100 OR THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.
You agree to defend and indemnify us from any claims arising out of your use of the Services, your data, or your violation of these Terms.
We may suspend or terminate your access for material breach. Upon termination, your right to use the Services stops immediately.
These Terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict-of-laws principles. Any dispute shall be resolved in the courts located in Toronto, Ontario.
We may modify these Terms by posting an updated version. Continued use after the change constitutes acceptance.
